By accessing or using Founcha ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Founcha. By creating an account or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Founcha provides a SaaS platform for securities screening, market analysis, and financial data insights ("the Service"). The Service includes access to:

• Real-time and historical market data analysis
• Securities screening tools and custom filters
• Financial metrics and technical indicators
• Portfolio monitoring and alert systems
• API access for integration (depending on subscription tier)

The Service is provided on a subscription basis and features may vary depending on your selected plan. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

Registration: To access the Service, you must create an account by providing accurate and complete information. You must be at least 18 years old to use the Service.

Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Use a strong, unique password
• Notify us immediately of any unauthorized use of your account
• Not share your account credentials with others
• Not create multiple accounts to circumvent restrictions

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

Violation of these conduct rules may result in immediate termination of your account and legal action.

Billing: The Service is offered on a subscription basis with monthly or annual billing cycles. You authorize us to charge your payment method for all fees associated with your subscription.

Automatic Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged at the then-current rates.

Price Changes: We reserve the right to change our pricing at any time. Price changes will be communicated at least 30 days in advance and will apply to subsequent billing periods.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of the current billing period.

Service Failure Refund: If the Service fails to deliver the core functionality described in your subscription plan due to technical issues on our end, you may be eligible for a pro-rated refund or service credit under the following conditions:

• The Service is unavailable for more than 24 consecutive hours
• Core features are non-functional for an extended period (more than 48 hours)
• Data accuracy issues that materially impact the Service's value

Refund Process: To request a refund, you must contact our support team within 7 days of the service failure with:

• A detailed description of the service failure
• The dates and times when the issue occurred
• Evidence of the impact on your use of the Service

Refunds will be calculated on a pro-rated basis for the period of service unavailability. Approved refunds will be processed within 14 business days to the original payment method.

No Refund Situations: Refunds are not available for:

• Dissatisfaction with market performance or investment outcomes
• User error or failure to use the Service properly
• Issues caused by third-party services or data providers
• Scheduled maintenance or updates communicated in advance
• Subscriptions canceled after use during the billing period

Ownership: The Service, including all content, features, and functionality, is owned by Founcha and is protected by copyright, trademark, and other intellectual property laws.

Limited License: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

User Data: You retain ownership of any data you submit to the Service. By submitting data, you grant us a license to use, store, and process it solely to provide the Service to you.

Restrictions: You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

Not Financial Advice: The Service provides data, analytics, and screening tools for informational purposes only. Nothing on the Service constitutes financial, investment, legal, or tax advice.

No Guarantees: Past performance does not guarantee future results. Market data and analysis provided through the Service should not be the sole basis for investment decisions.

Your Responsibility: You are solely responsible for your investment decisions. We recommend consulting with qualified financial professionals before making investment decisions.

Data Accuracy: While we strive to provide accurate and timely data, we do not guarantee the accuracy, completeness, or timeliness of any information provided through the Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES OF TITLE OR NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY INFORMATION

We do not warrant that the Service will meet your requirements or that any defects will be corrected.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOUNCHA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the limitation of certain damages, so some of these limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Founcha and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your investment decisions made using information from the Service

By You: You may terminate your account at any time by canceling your subscription through your account settings or contacting support.

By Us: We may suspend or terminate your account immediately without notice if:

• You violate these Terms
• Your payment method fails or your account is past due
• You engage in fraudulent or illegal activity
• We discontinue the Service

Effect of Termination: Upon termination, your right to use the Service will immediately cease. We may delete your account data after termination. Provisions that should survive termination (including disclaimers, limitations of liability, and dispute resolution) will continue to apply.

For EU Consumers: If you are a consumer residing in the European Union, you have the right to withdraw from this contract within 14 days without giving any reason, in accordance with the EU Consumer Rights Directive.

Withdrawal Period: The withdrawal period will expire after 14 days from the day of the conclusion of the contract (i.e., when you subscribe to the Service).

How to Exercise Your Right: To exercise your right of withdrawal, you must inform us of your decision to withdraw by sending a clear statement to:

• Include: Your name, email address, subscription details, and date of purchase

Effects of Withdrawal: If you withdraw from this contract, we will reimburse all payments received from you, including delivery costs (except for any supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than 14 days from the day on which we are informed of your decision to withdraw.

Waiver of Withdrawal Right: By expressly requesting that the provision of digital content begins immediately upon subscription, and by acknowledging that you will lose your right of withdrawal once the Service is fully performed, you agree to waive your right of withdrawal for the digital content we provide. This waiver applies only if:

• You have given your express prior consent to begin performance before the end of the 14-day withdrawal period
• You have acknowledged that you will lose your right of withdrawal once we have fully performed the Service

Partial Use: If you have used the Service during the withdrawal period but withdraw your subscription, you may be required to pay a proportionate amount for the services provided up to the time you communicated your withdrawal decision to us.

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you consent to our collection and use of your data as described in the Privacy Policy.

These Terms shall be governed by and construed in accordance with the laws of the European Union and the applicable laws of the member state where Founcha is established, without regard to conflict of law provisions.

For consumers within the EU: You have the right to bring legal proceedings in the courts of the EU member state where you reside. We may bring proceedings against you only in the courts of the member state where you reside.

For business users: Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts in the location where Founcha is established.

EU Consumer Rights: Nothing in these Terms affects your statutory rights as a consumer under EU law, including your right to withdraw from distance contracts within 14 days where applicable.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Founcha regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
